The weather warning was issued due to a 'complex area of low pressure' forming over the mid-Atlantic earlier this week, which is expected to move towards the UK on Wednesday evening.
The Met Office predicts that the majority of the rain will hit the West Midlands in the early hours of Thursday morning, with a total of 20mm to 30mm of rain, and for some places, 30mm to 50mm.
The group also said that, as well as rain conditions, winds are expected to turn windier as the day progresses, with a chance of strong gales in the daytime.
A Met Office spokesperson said: "A complex area of low pressure over the mid-Atlantic early this week is expected to move towards the UK whilst deepening, but confidence in the details of its track and intensity as it crosses the UK remains fairly low.
"Despite these uncertainties, there is at least a medium likelihood that an extensive, and in places heavy swathe of rain will move into southwestern Britain during Wednesday evening and spread quickly northeast, with totals by early Thursday morning of widely 20-30mm, and for some places 30-50mm.
"There is a small chance a few places could exceed this, most likely over North Devon and Cornwall and more generally in the east of the highlighted area."
The weather is expected to ease at 7pm on Thursday, with the weather group warning residents to check risks of flooding, delays to public transport, and to be prepared for quick-changing weather.
