Blues initially demanded £5.4million in compensation after alleging Villa tapped up McLeish.
Reports the clubs have settled on a £2million package are incorrect and Blues are still investigating whether Villa breached Premier League rules, but it is understood they will settle for around £3million.
A statement today said: "The fact that Alex McLeish has been appointed as manager of Aston Villa does not, in any way, mean that the legal dispute is over and Birmingham City maintains its stance and shall vigorously pursue the matter.
"We are very disappointed with how the club and its fans have been treated by Mr McLeish."
Meanwhile, Birmingham have completed the free transfer signing of midfielder Morgaro Gomis on a two-year deal, despite the departure of McLeish.
The 25-year-old France-born Senegal international had rejected a new contract with Dundee United.
Gomis was a mainstay of the United side, making 150 appearances after moving to the Scottish Premier League club from Cowdenbeath in 2007.
Formerly with Montpellier, he had brief spells with Dagenham & Redbridge and Barnet in England before moving north of the border.
McLeish had lined up Gomis for St Andrew's before he resigned in favour of his controversial cross-city switch to rivals Villa.
