Wolves watched the 24-year-old - who is out of contract at the end of the season - score a hat-trick in the New Year's Day demolition of Dundee United and followed up with their failed initial approach.
A statement released by Falkirk said: "Wolverhampton Wanderers have made an offer for the immediate transfer of Alan Gow.
"The offer has been rejected as Falkirk Football Club remain committed to securing Alan on a longer contract and are continuing to have discussions with him."McCarthy is understood to be prepared to double Wolves' offer in a bid to secure the signature of one of his two top January targets.
But he faces stiff competition from Rangers, who remain firm favourites to land the forward.
Scotland B international Gow is a lifelong Gers fan and according to sources in Scotland Ibrox is his preferred destination.
But the managerial upheaval at Rangers, where Ally McCoist and Scotland boss Walter Smith are on the verge of taking over following Paul Le Guen's departure, may open a window of opportunity for Wolves.
Other leading clubs eyeing Gow include Norwich, Hibernian and Aberdeen - although Wolves are confident they are the leading English suitor.
Although Wolves do not expect to sign anyone else until the middle of January at the earliest, they have already begun work trying to clinch other targets.
